These Terms and Conditions govern your use of the Parchwood Partners website at parchwoo, as well as the professional arrangements we offer. By accessing this website or engaging our services, you indicate your acceptance of these terms.

Parchwood Partners is a consulting practice registered in Thailand, with principal offices at 185 Ratchadaphisek Road, Huai Khwang, Bangkok 10310.

1. Website Use

This website is provided for informational purposes, to describe our practice and the arrangements we offer, and to allow prospective clients to make enquiries.

You may use this website for personal, non-commercial purposes. You may not reproduce, distribute, or modify any content from this website without our prior written consent. Nothing on this website constitutes professional advice, and we are not liable for decisions made on the basis of information found here.

2. Our Consulting Arrangements

Parchwood Partners offers three professional arrangements:

  • Annual Strategic Companion — a twelve-month advisory arrangement for business owners and senior leaders
  • Retreat Facilitation — facilitation services for leadership team retreats
  • Correspondence Arrangement — an ongoing written exchange arrangement for leaders who value considered written dialogue

The specific terms of any engagement — scope, deliverables, fees, payment schedule, and duration — are set out in a written engagement letter signed by both parties prior to commencement. These Terms and Conditions apply to all engagements in addition to the specific engagement letter.

3. Fees and Payment

Fees for each arrangement are as set out on our website or in your engagement letter. Payment terms are agreed at the start of each engagement and specified in writing. We issue invoices in Thai Baht or US Dollars as agreed. Payment is due within the period stated on each invoice.

We reserve the right to adjust fees for ongoing arrangements with reasonable advance notice. No adjustment will apply to an arrangement already in progress unless agreed by both parties.

4. Confidentiality

We treat all information shared by clients in the course of our work with strict confidentiality. We do not disclose client information to third parties except where necessary to perform our services, where required by law, or with the client's explicit consent.

In turn, clients agree to treat as confidential any materials, frameworks, or written thinking we share in the course of an engagement. This does not restrict a client from acting on the strategic conclusions we develop together.

5. Intellectual Property

Any written materials, frameworks, notes, or documents we produce in the course of an engagement are shared for the client's use in their business. Ownership of our general working methods, frameworks, and approaches remains with Parchwood Partners. Specific deliverables prepared for a client are for that client's use, subject to full payment of fees.

6. Limitation of Liability

Our role is to provide considered strategic thinking and facilitation. We do not make operational decisions on behalf of clients, and we are not responsible for the outcomes of decisions that clients choose to make.

To the extent permitted by applicable law, our liability for any claim arising from an engagement is limited to the fees paid by the client for the relevant engagement. We are not liable for indirect, consequential, or speculative losses.

Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence.

7. Termination

Either party may terminate an engagement by providing written notice as specified in the engagement letter. Where we terminate an arrangement, we will refund any fees paid for work not yet delivered. Where a client terminates early, fees already invoiced for the current period are payable, and any deposits or advance payments are subject to the terms of the engagement letter.

8. Website Accuracy

We take reasonable care to ensure the information on this website is accurate and current. However, we make no warranty as to the completeness or accuracy of any information provided, and we reserve the right to update or correct information at any time without notice.

9. External Links

Our website may link to third-party websites. We are not responsible for the content or practices of those sites and provide links for convenience only. The inclusion of a link does not constitute an endorsement.

10. Governing Law

These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from these terms or our arrangements will be subject to the jurisdiction of the courts of Thailand.

11. Changes to These Terms

We may update these Terms and Conditions from time to time. Revisions will be posted on this page with an updated date. Continued use of this website following a revision constitutes acceptance of the updated terms. Existing engagements are not affected by changes to these terms unless agreed in writing by both parties.
